Terms of Use

1Definitions

For purposes of these Terms:

“Platform” means the AGENTÉ.NG website, mobile applications, APIs, software systems, communication tools, and all associated services operated by AGENTÉ.

“User” means any person or entity accessing or using the Platform, including Hunters, Agents, Landlords, Agencies, Property Managers, and Visitors.

“Hunter” means a user seeking to rent, lease, purchase, or otherwise acquire a property.

“Agent” means any estate agent, broker, realtor, property consultant, property manager, developer, landlord, or agency using the Platform to respond to Demand Orders or provide property-related services.

“Demand Order” means a structured housing or property request submitted by a Hunter through the Platform.

“Content” means all text, photographs, videos, documents, messages, listings, property details, profiles, logos, ratings, comments, and other information uploaded or transmitted through the Platform.

“Credits” means digital access units purchased or allocated on the Platform for unlocking leads, communications, or premium features.

2Nature of the Platform

AGENTÉ operates solely as a technology-enabled marketplace connecting independent participants within the property ecosystem. Unless expressly stated otherwise, AGENTÉ does not own listed properties, does not act as a real estate broker except where specifically licensed for a given transaction, and does not guarantee the availability, condition, legality, quality, or accuracy of any property listings. AGENTÉ is not a party to any agreements concluded between users, and users transact independently and at their own discretion and risk.

3Eligibility

To use the Platform, users must be at least 18 years old, have the legal capacity to enter into binding agreements, provide accurate and complete registration information, and comply with all applicable laws and regulations. Where a user registers or acts on behalf of a company or organization, such user represents and warrants that they have the requisite authority to bind that entity to these terms.

4User Account Registration

Users may be required to create an account to access certain services on the Platform and agree to provide accurate, current, complete, and verifiable information during registration. AGENTÉ may, at its discretion, require users to undergo verification processes including NIN and BVN verification, CAC documentation, facial and phone verification, office verification, professional association validation, or any other checks deemed necessary. Users are solely responsible for maintaining the confidentiality of their login credentials, restricting unauthorized access to their accounts, and ensuring accountability for all activities conducted under their accounts, and must promptly notify AGENTÉ of any suspected or actual unauthorized access.

5Demand Orders & Property Responses

Hunters agree that all submitted Demand Orders shall be truthful, with realistic budgets and requirements, and that all communications with Agents shall be lawful and respectful; they further agree not to submit fraudulent, duplicate, spam, or misleading housing requests.

Agents, on their part, agree that all property information provided shall be accurate and that they possess the necessary authority to market such properties; they shall not upload fake, unavailable, or misleading listings or quote misleading prices, and shall comply with all applicable real estate regulations in Nigeria, remaining solely liable for their representations to Hunters, commissions charged, transaction conduct, and the legality of listed properties.

6Verification & Trust System

AGENTÉ operates a verification-first ecosystem; however, verification does not constitute endorsement, and AGENTÉ does not guarantee the honesty, solvency, or professionalism of any user, and may revoke verification status at any time at its discretion. Users acknowledge and agree that AGENTÉ may conduct background checks, review activity logs, and monitor communications for fraud prevention purposes, and may suspend or restrict access to any account suspected of fraudulent, abusive, or suspicious activity.

7Credit System & Payments

Certain features on the Platform require Credits, including viewing full Demand Orders, initiating direct messaging, and unlocking contact information. Except where required by applicable law or expressly approved by AGENTÉ, Credits are non-refundable, unused Credits may expire, and all purchases of digital services are final. AGENTÉ reserves the right to modify pricing, introduce new fees, revise subscription structures, and adjust its monetization models at any time upon reasonable notice. Users remain solely responsible for all applicable taxes, levies, duties, and other statutory obligations arising from their use of the Platform.

8Future Escrow & Payment Services

Where AGENTÉ introduces escrow systems, rent collection, payment facilitation, or digital documentation services, additional service-specific agreements may apply. In such cases, AGENTÉ may also partner with licensed third-party payment service providers and financial institutions to facilitate the provision of these services.

9Prohibited Activities

Users shall not post fake or unavailable properties, impersonate any person, use false identities or forged documents, or engage in fraud or scams. Users are further prohibited from harvesting user data without authorization, circumventing payment systems, abusing messaging features, sending spam communications, uploading malicious software or code, engaging in discriminatory conduct, or violating intellectual property rights. In addition, users shall not interfere with Platform security, manipulate ratings or reviews, or create multiple deceptive or misleading accounts.

10Communications & Contact Sharing

Users consent to receive communications from AGENTÉ, including emails, SMS, WhatsApp messages, platform notifications, and transactional alerts. AGENTÉ may also implement safety and fraud prevention measures such as phone number masking, approval-based contact sharing, and monitored communication systems to protect users and maintain platform integrity.

11Privacy & Data Protection

AGENTÉ processes personal data in accordance with applicable Nigerian data protection laws, including the Nigeria Data Protection Act and the NDPR, as well as its Privacy Policy. By using the Platform, users consent to identity verification, fraud monitoring, behavioural analytics, device tracking, and IP logging, where reasonably necessary for security, compliance, and operational purposes.

12Intellectual Property Rights

All intellectual property relating to the Platform, including but not limited to software, trademarks, algorithms, logos, designs, databases, workflows, business systems, and matching architecture, shall remain the exclusive property of AGENTÉ Technology Ltd. Users are strictly prohibited from reverse engineering the Platform, copying its business systems, scraping databases, reproducing proprietary features, or otherwise exploiting Platform technology without prior authorization. The name “AGENTÉ,” together with its logos, slogans, and associated branding elements, constitute protected proprietary assets of AGENTÉ Technology Ltd.

13User-Generated Content

Users retain ownership of any content they upload to the Platform. However, by submitting such content, users grant AGENTÉ a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, distribute, promote, and analyse such content for operational, administrative, and marketing purposes. Users further warrant that they have all necessary rights, licences, and permissions to upload and use such content on the Platform.

14Ratings, Reviews & Reputation System

AGENTÉ may implement ratings, reviews, performance scores, trust badges, and other behavioural indicators to enhance trust and transparency on the Platform. Users agree that all reviews and feedback must be truthful, fair, and not misleading, and that defamatory, abusive, or malicious content is strictly prohibited. AGENTÉ reserves the right to moderate, remove, or investigate any reviews at its discretion to ensure platform integrity and compliance with applicable standards.

15Suspension, Restriction & Termination

AGENTÉ may suspend, restrict, or permanently terminate user accounts where users violate these Terms, engage in suspicious or fraudulent activity, submit false or misleading information, create reputational or legal risk, or otherwise abuse the Platform. In such circumstances, AGENTÉ may also freeze Credits, restrict access to services, or report relevant conduct to competent authorities where necessary. Where urgent risk or harm is identified, termination or restriction of access may be effected without prior notice.

16Disclaimers

The Platform is provided on an “as is” and “as available” basis. AGENTÉ disclaims all warranties, whether express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, uninterrupted service, transaction success, and property suitability. AGENTÉ does not guarantee successful rentals, property acquisitions, agent performance, completion of transactions, or that user interactions will be free from fraud or misconduct. Users are solely responsible for conducting their own due diligence prior to entering into any transaction or engagement on the Platform.

17Limitation of Liability

To the fullest extent permitted by law, AGENTÉ shall not be liable for any property disputes, agent or landlord misconduct, fraudulent transactions between users, indirect or consequential losses, loss of profits, emotional distress, transportation costs, or relocation expenses. However, where liability cannot be excluded under applicable law, AGENTÉ’s total aggregate liability shall be limited to the total fees paid by the affected user to AGENTÉ within the three (3) months preceding the event giving rise to the claim.

18Indemnity

Users agree to indemnify and hold harmless AGENTÉ Technology Ltd., including its directors, employees, affiliates, and partners, from and against any claims, liabilities, damages, losses, or expenses arising out of user misconduct, breach of these Terms, fraudulent activity, violation of applicable laws, or disputes between users and third parties.

19Third-Party Services

The Platform may integrate third-party services, including WhatsApp, payment processors, verification APIs, mapping services, advertising systems, and cloud infrastructure. AGENTÉ shall not be responsible for the performance, availability, or outages of any third-party systems, and users acknowledge that separate terms and conditions may apply to such third-party services.

20Confidentiality & Platform Security

Users shall not disclose any confidential information relating to the Platform, exploit internal operational processes, attempt unauthorized access, or test Platform vulnerabilities without prior authorization. AGENTÉ reserves the right to investigate any suspected cybersecurity incidents and to cooperate with law enforcement or other relevant authorities where necessary.

21Dispute Resolution

Users agree to first attempt to resolve any dispute arising from these Terms through AGENTÉ’s internal support channels in good faith. Where a dispute cannot be resolved amicably, it shall be referred to arbitration seated in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act, 2023. These Terms shall be governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State shall retain supervisory jurisdiction where applicable.

22Force Majeure

AGENTÉ shall not be liable for any delay or failure in performance arising from events beyond its reasonable control, including internet outages, cyberattacks, governmental actions, natural disasters, power failures, telecommunications failures, strikes, pandemics, civil unrest, or any other force majeure events.

23Modifications to Terms

AGENTÉ may revise these Terms from time to time, and any updated version shall become effective upon publication on the Platform. Continued use of the Platform after such publication constitutes acceptance of the revised Terms.

24Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent authority, the remaining provisions shall remain valid, binding, and enforceable to the fullest extent permitted by law.

25Entire Agreement

These Terms, together with the Privacy Policy, Payment Policies, Verification Policies, Community Guidelines, and any other applicable platform policies, constitute the entire agreement between users and AGENTÉ in relation to the use of the Platform and supersede any prior understandings or agreements, whether written or oral, relating to the subject matter herein.
